I focus my practice on commercial law, debt financings, structured financings, workouts, bankruptcies, and international transactions. I have a deep understanding of commercial law and insolvency matters, both within the United States and internationally. My professional experience includes representation in major bankruptcies such as Refco, Lehman, the City of Detroit, and PG&E. I frequently provide advice to financial institutions regarding documentation and risk management.
I guide creditors and counter-parties through the complexities of commercial and insolvency risks associated with sales, leasing, financing, investment securities, and derivatives and repo-style transactions. I have also played a significant role in representing parties in major insolvencies. My speaking engagements span a variety of respected bar and trade organizations, including ALI-CLE, the American Bar Association, the American Bankruptcy Institute, the International Insolvency Institute, the Association of Commercial Finance Attorneys, the Boston Hedge Fund Group, the Commercial Finance Association, the National Conference of Bankruptcy Judges, the Equipment Leasing Association, the Practicing Law Institute, the Risk Management Association, and various local bar associations.
As a Uniform Law Commissioner, I actively contributed to the drafting of several recent revisions to the Uniform Commercial Code (UCC). Chambers USA has recognized my deep familiarity with the UCC, stating that I "probably knows as much about UCC as anybody in the country."
